1. Acceptance of Terms

By accessing or using Talent Menu's website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

Talent Menu ("we," "our," or "us") reserves the right to modify these Terms at any time. Your continued use of our Services after such modifications constitutes acceptance of the updated Terms.

2. Description of Services

Talent Menu provides executive search and recruitment services, connecting hospitality industry employers with qualified executive candidates. Our services include:

• Executive candidate sourcing and screening
• Candidate placement services
• Talent network management
• Consultation and advisory services

3. Use of Services

3.1 Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you are of legal age and have the capacity to enter into these Terms.

3.2 Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Provide false, inaccurate, or misleading information
• Impersonate any person or entity
• Violate any applicable laws or regulations
• Interfere with or disrupt our Services or servers
• Attempt to gain unauthorized access to our systems
• Use our Services to transmit any harmful or malicious code
• Harass, abuse, or harm other users
• Use our Services for any commercial purpose without our express written consent

4. Candidate Terms

4.1 Information Accuracy

Candidates are responsible for providing accurate, complete, and up-to-date information, including resumes, work history, and qualifications. Providing false or misleading information may result in termination of services and legal action.

4.2 Candidate Placement

Talent Menu acts as an intermediary between candidates and employers. We do not guarantee placement or employment. Placement decisions are made solely by employers.

4.3 Confidentiality

Candidates understand that their information may be shared with potential employers. Candidates may request confidentiality, and we will make reasonable efforts to honor such requests, but cannot guarantee complete confidentiality.

5. Client Terms

5.1 Service Fees

Clients agree to pay fees as specified in their service agreement. Our current pricing structure is:

• Roles up to $70k: $5,000 fee
• Roles $71k - $120k: $7,500 fee
• Roles $121k+: $10,000 fee

Fees are due as specified in the service agreement. Late payments may result in suspension of services.

5.2 Candidate Guarantees

If a placed candidate leaves within 30 days, we will provide up to 5 additional candidate resumes at no additional charge, subject to the terms of your service agreement.

5.3 Client Responsibilities

Clients are responsible for providing accurate job requirements, conducting interviews, and making final hiring decisions. Clients agree to treat candidate information confidentially and use it solely for hiring purposes.

6. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Talent Menu or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our content without our express written permission.

7. Disclaimers

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

• Our Services will be uninterrupted or error-free
• Defects will be corrected
• Our Services are free of viruses or other harmful components
• The results obtained from using our Services will meet your requirements

8. Limitation of Liability

To the maximum extent permitted by law, Talent Menu shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our Services
• Any conduct or content of third parties on our Services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from our Services

9. Indemnification

You agree to indemnify, defend, and hold harmless Talent Menu and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of our Services or violation of these Terms.

10. Termination

We reserve the right to terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use our Services will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Los Angeles County, California.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13. Entire Agreement

These Terms constitute the entire agreement between you and Talent Menu regarding the use of our Services and supersede all prior agreements and understandings.
